Company Secretarial Service
A Company Secretary is an officer of a company, similar to a director, but who has no power (unlike a director) to control the operations of a company. The Company Secretary’s role is officially administrative. Normal companies no longer have to have a Company Secretary at all – however we would like to suggest that it might be beneficial to appoint this firm as corporate Company Secretary of your company.
Having a law firm as Company Secretary creates a formal legal impression on outsiders, building confidence and stature. For example it might make banks more confident to lend, or customers more confident to contract with you.
We will ease your Company Administration – we will use state-of the art electronic systems to maintain your company records that have to be kept, and we have ready access on your behalf to a wide range of electronic Company Forms and information systems.
Customers of our Company Secretarial service will also receive, free from further charge on request assistance with all simple company law matters, e.g. changes in officers; simple forms such as Confirmation Statements, dormant company accounts etc.
Adding an independent officer helps and relieves pressure on Directors, e.g. allowing the option for documents to be executed without bothering directors.
With our appointment as Company Secretary there is absolutely no loss of control (we have no “say” in the management of the Companies we represent), and there is no spreading of ownership (accepting the office of Company Secretary gives us no interest in the ownership of the Company).
Registered Office Service
A Company’s Registered Office is its official address – where its statutory books are kept, and where official documents are deemed to be received. The Registered Office need have nothing to do with the Company’s actual operational base, from which it functions. All Companies must have a Registered Office. Often Companies use their operating address, or a director’s home address, as their Registered Office Address. We would like to suggest a better option might be to make our office your Company’s Registered Office.
Having one’s Registered Office at a lawyer’s office creates a formal legal impression on outsiders, building confidence and stature. It may make people less willing to “mess around”, e.g. by serving spurious demands on your company, and it might impress suppliers and backers with your professionalism.
Using us as your external Registered Office means that – at a cost far less than any missed-deadline penalty – you will never miss any important documents, e.g. Court papers, Companies House warnings – and also that you will never be confused by unnecessary documents, e.g. spoof legal letters, junk mailings and so on.
Directors of Companies using our Registered Office service may also use our office as their own service address (which needs to be recorded publicly at Companies House). It could be particularly important for some directors that their home addresses are kept away from public registers.
How long will it take?
The time our work takes to conclude will depend on precisely what we are asked to do. We would expect to provide the required services as they are demanded.

- Handling and forwarding all official mail
- Accepting and maintaining appointment as your Company Secretary
- Maintaining your statutory records
- Filing your Confirmation Statement when due

Money Matters
This service is for acting as a Company Secretary for a year, and/or allowing one of our addresses to be used as a company’s registered office address for a year.

For our Company Secretarial/Registered Office service, we charge a fixed fee of £395 p.a.
